Refund & Cancellation Policy

SP Engineering Suite and SP Master Automation Suite are proprietary digital software products supplied through electronic delivery and license activation.
ALL SOFTWARE LICENSE PURCHASES, SUBSCRIPTIONS, ACTIVATION FEES, RENEWALS AND OTHER DIGITAL SOFTWARE PAYMENTS ARE FINAL AND NON-REFUNDABLE.
Once a payment has been successfully processed and the software license, subscription, activation entitlement or digital access has been issued, the customer cannot cancel the transaction or request a refund merely because the software is no longer required, is not used, is used less than expected, or the customer subsequently changes their mind.

1. Scope of this Policy
This Refund & Cancellation Policy applies to all purchases of SP Engineering Suite, SP Master Automation Suite, associated desktop applications, AutoCAD automation tools, software subscriptions, license activations, renewals, upgrades and other digitally delivered software products or services supplied by SP Engineering Consultants.
By purchasing, activating or renewing a software license, the customer confirms that they have reviewed and accepted this Refund & Cancellation Policy together with the applicable Terms & Conditions and License Agreement.
2. Digital Nature of the Software
The Services provided by SP Engineering Consultants are primarily digital products and electronically delivered software licenses.
Depending on the product, access may be provided through software downloads, license credentials, account authentication, activation systems, hardware identification (HWID), cloud authentication endpoints or other electronic mechanisms.
Because digital software access may be issued immediately after payment, the software cannot ordinarily be returned in the same manner as a physical product.
3. Strict No-Refund Policy
Except where a refund is required by applicable law or expressly approved by SP Engineering Consultants under this Policy, all payments are strictly non-refundable.
This includes, without limitation:
- New software license purchases
- Subscription purchases
- Subscription renewal payments
- License activation charges
- License upgrade charges
- Additional machine or activation charges
- Digital software access fees
- Promotional or discounted purchases
- Special pricing or negotiated license purchases
A customer is not entitled to a refund merely because they subsequently decide not to use the software.
4. License Activation and HWID Binding
Certain software licenses may be associated with the customer's computer or hardware configuration through a Hardware ID (HWID) or similar technical identifier.
Once a license has been activated, issued, assigned or technically bound to an authorized machine, the purchase shall be treated as a completed digital software transaction.
If a customer's computer is upgraded, replaced, formatted or otherwise modified, the customer should contact technical support for license reactivation or transfer assistance where such assistance is available under the applicable license terms.
5. Subscription Renewal Payments
Where a subscription renews automatically, the renewal payment will be treated as a new completed subscription transaction.
Customers are responsible for reviewing their subscription status and cancelling future renewal where a cancellation mechanism is provided.
Cancellation of future renewal does not automatically create a right to refund an amount already charged for a current subscription period.
6. Non-Use Does Not Create a Refund Right
Failure to download, install, open or regularly use the software does not by itself create a right to a refund.
Similarly, the following circumstances do not ordinarily qualify for a refund:
- Customer changed their mind.
- Customer no longer requires the software.
- Customer did not use the software.
- Customer used only a small portion of the software.
- Customer purchased the wrong subscription voluntarily.
- Customer's project was cancelled.
- Customer's business requirements changed.
- Customer purchased the software for another person without confirming compatibility or requirements.
7. Compatibility and System Requirements
Before purchasing the software, customers are responsible for reviewing the published system requirements, supported AutoCAD versions, operating-system requirements and other technical prerequisites applicable to the product.
Compatibility information may be provided through the website, product documentation, demonstrations or customer support.
A customer who purchases the software without verifying compatibility with their computer, AutoCAD version, operating system or other environment is not automatically entitled to a refund.
Customers are encouraged to contact SP Engineering Consultants before purchasing if compatibility is uncertain.
8. Trial, Demonstration and Evaluation
Where a free demonstration, trial version, preview, documentation, video demonstration or other evaluation facility is made available, customers are encouraged to evaluate the software before purchasing.
Use of an evaluation facility does not guarantee that every future version, feature or operating environment will remain identical.
Unless expressly stated otherwise in writing, the availability of a trial or demonstration does not create a refund right after purchase.
9. Mandatory Legal Exceptions
Nothing in this Policy is intended to exclude, restrict or waive any right, remedy or protection that cannot lawfully be excluded or waived under applicable Indian law.
Accordingly, notwithstanding the general no-refund policy, SP Engineering Consultants will comply with any refund, replacement, remedy or other obligation that is mandatorily imposed by a competent authority or applicable law.
In particular, if a competent consumer forum, court or statutory authority determines that a refund or other remedy is legally required in a particular case, that determination will prevail over this Policy.
The general commercial policy remains that completed digital software purchases are final and non-refundable, subject only to rights and remedies that cannot legally be excluded.
10. Chargebacks and Payment Disputes
Customers are requested to contact SP Engineering Consultants before initiating a payment dispute or chargeback where the issue concerns software access, activation, billing or technical support.
If a customer initiates a chargeback after receiving and activating a valid software license without first contacting us, we may provide the payment processor with relevant transaction, activation and licensing records necessary to respond to the dispute.
Fraudulent, deceptive or unauthorized use of payment mechanisms may result in suspension of the associated software account or license, subject to applicable law.
11. License Abuse, Misuse and Termination
Software licenses are personal to the purchasing customer or organization unless the applicable license agreement expressly permits transfer or multiple-user use.
The following may constitute license misuse:
- Unauthorized license sharing
- Unauthorized resale
- Circumvention of license activation
- Hardware-ID bypass or manipulation
- Unauthorized copying
- Reverse engineering or license-system tampering
- Unauthorized distribution of proprietary software
Where permitted by the applicable License Agreement, a license may be suspended or terminated for material breach.
Suspension or termination arising from the customer's breach does not ordinarily create a refund entitlement.
12. Technical Support Is Not a Refund Mechanism
Technical support may be provided to help customers resolve installation, activation, configuration or compatibility problems.
A technical problem does not automatically create a refund right.
Where technically feasible, SP Engineering Consultants may first attempt to resolve the reported issue through support, configuration assistance, license reactivation, update, correction or other reasonable technical measures.
13. Cancellation Policy
13.1 Before Payment
A customer may choose not to proceed with a purchase before payment is completed.
13.2 After Payment but Before Activation
Payment completion does not automatically create a cancellation or refund right merely because the customer has not yet activated the software.
13.3 After Activation
Once the license has been activated or issued, the transaction is considered final and non-refundable, subject to mandatory rights under applicable law.
13.4 Subscription Cancellation
Where subscription cancellation is available, cancellation will normally prevent future renewal rather than refund an already-paid subscription period.
14. Refund and Billing Contact
If you believe that a payment has been processed incorrectly, duplicated, unauthorized or otherwise requires investigation, contact us promptly.

15. Applicable Law
This Policy shall be interpreted subject to the applicable laws of India.
Nothing in this Policy is intended to remove or restrict mandatory rights available to a consumer under applicable law.
Subject to applicable law and mandatory jurisdictional requirements, disputes concerning this Policy or software purchases shall be subject to the jurisdiction of competent courts and authorities in Maharashtra, India.
The Indian Penal Code, 1860 is no longer the current general criminal code. The Bharatiya Nyaya Sanhita, 2023 came into force on 1 July 2024 and replaced the IPC framework.
This Refund Policy is therefore not presented as an "IPC refund policy". Consumer transactions and contractual refund rights are governed by the applicable consumer, contract, e-commerce and other laws rather than by treating the IPC/BNS as a source of a general no-refund rule.
